Practice Concentration
Represents companies, business owners and individual clients in all aspects of corporate and business transactional law, sales and acquisitions, tax, contracts, wealth and estate planning, business succession planning, benefits and compensation law.

Representative Experience
Serves as outside General Counsel to closely-held businesses
Facilitated sales, purchases and reorganizations of businesses of various sizes, including in excess of $100 million

Established nonqualified deferred compensation plan and stock appreciation rights plan for corporations with revenues exceeding $100 million

Assistance with corporate entity start-ups and partnerships, debt and equity offerings, and commercial financings

Individual and business tax planning and dispute resolution

Comprehensive estate and lifetime gift tax planning through a variety of charitable and non-charitable techniques, including use of trusts, family entities, insurance, and intra-family sales

Negotiation of compensation and severance contracts for executives of public and private companies
Real estate transactions; including 1031 exchanges

Member of the CWS Default Restructuring and Recovery Group
