Local and Ohio Counsel Assisting Out of State Counsel 

Served as Ohio Counsel for out of state lender on multi-state real estate financing transaction for retail facilities
Served as Ohio counsel for a multi-state and international debt restructuring of parent, subsidiary and related entities for bankruptcy exit and term loan financing

Real Estate Development
Negotiated a development incentive, workforce retention and “green” building agreement with a major central Ohio municipality on behalf of a corporation constructing a 105,000 square foot corporate headquarters
Created Declaration amendments and drafted attorney opinions necessary for several existing condominium projects to qualify for unit purchaser financing under revised 2008 Fannie Mae Guidelines

FHA Insured Financing  
Represented nursing home owner/operator of a 125 bed nursing home with a 38 bed assisted living facility in Columbus, Ohio for a refinancing insured by the Department of Housing and Urban Development under Section 223(a)(7) of the National Housing Act

Transactions and Restructurings
Represented owner of a troubled shopping center in a loan restructuring/loan forgiveness transaction with a CMBS national servicer
Represented land purchaser and licensed operating entity in the acquisition by conventional bank financing of an 86 bed nursing home with a 16 bed assisted living facility in Dayton, Ohio
Represented Buyer in a contracting, due diligence and eventual closing of purchase of a Class A 97,714 square foot office building in Columbus, Ohio

Real Estate Transactions 

Represented seller in contracting, due diligence and eventual sale by assumption of a CMBS loan of a class A 118,883 square foot office building in Dublin, Ohio
Represented Seller in a contracting, due diligence, loan documentation and eventual closing of seller-financed sale of a 33,232 square foot corporate headquarters in Columbus, Ohio
Represented Buyer in the assumption and financing of a sub-ground leasehold for a 200,000 square foot office building in the center of downtown Columbus

Public Development Incentives

Represented owner in negotiation of a pre-annexation agreement and development incentive agreement for the annexation of a 138,164  square foot shopping center into a central Ohio municipality

Technology

Negotiation and documentation of settlement of several software license default/copyright infringement claims on behalf of a software vendor

FHA Multifamily Finance

Represented purchaser in the transfer of physical assets of nine properties for the handicapped constructed pursuant to HUD Capital Advance program
Local counsel for owner on the refinance of an 120 unit apartment project pursuant to Section 223 (A)(7)of the National Housing Act

Mergers and Acquisitions

Represented Buyer in the purchase from a bankruptcy estate of the real estate, equipment, inventory, and assumption of the workforce of an operating sawmill
